Commercial & Regulatory Terms

Terms of Service

Effective Date: January 1, 2026 • Last Updated: October 6, 2026

1. Acceptance of Terms

By accessing, registering for, or using the Ziro Marketing Platform ("Platform", "Service") provided by Ziro Technologies Inc., your organization ("Customer", "Tenant") agrees to be legally bound by these Terms of Service. If you are registering on behalf of a company or commercial retail entity, you represent and warrant that you have full authority to bind that entity.

2. Messaging Compliance & Anti-Spam Policy

All promotional, transactional, and automated customer notifications dispatched through our SMS, WhatsApp, and Web Push pipelines must comply with applicable telecommunications and anti-spam legislation, including the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, and regional cellular carrier codes of practice.

  • Express Consent Mandate: Customers must obtain explicit prior opt-in consent before enrolling recipient phone numbers into marketing broadcasts.
  • Mandatory Opt-Out: Promotional campaigns must provide clear opt-out instructions (such as replying "STOP" or clicking an unsubscribe link). Opt-out requests are processed immediately and enforced platform-wide.
  • Prohibited Content: Unlawful solicitations, phishing schemes, unauthorized financial services, and deceptive or fraudulent promotions will result in immediate tenant termination without refund.

3. Prepaid Wallets, Billing & Refunds

Dispatching omnichannel messages operates on a prepaid credits model backed by real-time pessimistic balance reservations:

  • Pre-Debit Reservation: Message costs are reserved and debited prior to dispatch. If a carrier gateway reports an upstream failure or rejection, the debited funds are automatically credited back to your branch wallet balance as an audited refund (CAMPAIGN_REFUND).
  • Zero Negative Balance: Dispatch pipelines strictly enforce a non-negative balance constraint (balance >= 0). Campaigns with insufficient funds are halted before carrier transmission.
  • Wallet Recharges: Wallet credits purchased via supported payment gateways are non-refundable once applied to completed message dispatches. Unused wallet balances remain active for the duration of your active subscription.

4. Cashier Verification & Anti-Fraud Security

The Cashier Desk and POS terminal scanner validate single-use promotional vouchers using cryptographically signed QR codes and atomic database verification. Customers and retail staff must not circumvent or tamper with the validation engine. All coupon redemptions record immutable audit entries linking the cashier ID, branch ID, customer ID, and verification timestamp.

5. Service Level Agreement (SLA) & Uptime

Ziro targets a 99.9% Service Level Availability for core microservices and API gateways. Scheduled maintenance windows will be announced at least 48 hours in advance through the platform banner or email notifications. Emergency security updates and upstream carrier gateway outages are excluded from SLA credit calculations.

6. Limitation of Liability

To the maximum extent permitted by applicable law, Ziro Technologies Inc. and its affiliates shall not be liable for any indirect, incidental, punitive, or consequential damages resulting from lost retail revenues, downstream telecom network rejections, or store register delays. In all events, aggregate liability is limited to fees paid by Customer to Ziro during the twelve (12) months preceding the incident.
